TERMS OF SERVICE

§ 1. General Provisions

  1. These Terms of Service (hereinafter: the "Terms") set out the rules for using the website operating at www.automatparts.eu (hereinafter: the "Website"), including the rules for using the contact form available on the Website.
  2. These Terms constitute terms of service for the provision of electronic services within the meaning of Article 8 of the Polish Act of 18 July 2002 on the Provision of Electronic Services (consolidated text, Journal of Laws of 2020, item 344, as amended).
  3. The administrator of the Website and the entity providing the services described in these Terms is:
    FINALTECH R. Chodera Spółka Jawna, with its registered seat at ul. 16 Pułku Ułanów Wielkopolskich 14, 85-319 Bydgoszcz, Poland, Tax ID (NIP): 953-263-43-65, (hereinafter: the "Service Provider" or "Seller").
  4. These Terms are made available on the Website free of charge, in a form that allows any user to acquire, reproduce and store them (download, print, save to a storage device) before using the contact form.
  5. Use of the Website constitutes acceptance of these Terms.

§ 2. Nature of the Website and the B2B Offer

  1. The Website is purely informational and presentational (catalogue-type). The Website is not an online store and does not enable the conclusion of a sales agreement or the placement of a binding order online.
  2. All information about products, their characteristics, photographs, descriptions, and any indicative prices shown on the Website are for illustrative purposes only and do not constitute an offer within the meaning of Article 66 of the Polish Civil Code, but rather an invitation to conclude an agreement (invitation to negotiate) within the meaning of Article 71 of the Polish Civil Code.
  3. The Service Provider's offer is addressed exclusively to businesses (entrepreneurs) within the meaning of Article 43 of the Polish Civil Code, i.e., to entities conducting business or professional activity in their own name (legal persons, organizational units, and natural persons conducting business activity).
  4. The Website and the contact form are not intended for consumers within the meaning of Article 22 of the Polish Civil Code, nor for natural persons purchasing products for purposes unrelated to their business or professional activity. The Service Provider reserves the right to refuse to process an inquiry submitted by an entity that is not a business, or to refuse to conclude an agreement with such a person.
  5. The Service Provider's offer is directed at businesses established in the territory of the Republic of Poland and other Member States of the European Union, as well as — subject to individual arrangement — businesses from third countries.

§ 3. Electronic Services Provided

  1. Through the Website, the Service Provider provides the following electronic services free of charge:
    a) making content available (presentation of products, catalogue, and commercial information) on the Website,
    b) making available a contact form enabling the submission of an inquiry about the availability and price of a product (hereinafter: the "Form").
  2. The Form allows the user to submit a commercial inquiry to the Service Provider containing at least: the company name, contact person's details (first name, last name, e-mail address, optionally a phone number), the content of the inquiry, and an indication of the product to which the inquiry relates.
  3. Submitting the Form does not constitute placing an order or concluding a sales agreement. An agreement between the Service Provider and the entity submitting the inquiry may be concluded only through a separate process, e.g., by way of individual commercial arrangements (e-mail correspondence, telephone correspondence, a written commercial offer and its acceptance), after the Service Provider has verified the business status of the inquiring entity.
  4. Using the Form is conditional upon providing true and up-to-date information and declaring that the inquiry is submitted on behalf of an entity conducting business or professional activity.
  5. The Service Provider reserves the right to verify the business status of the inquiring entity (e.g., by requesting its NIP/EU VAT number) before responding to the inquiry or before concluding an agreement.

§ 4. Technical Requirements

  1. To use the Website and the Form, the following are required: a device with Internet access, an up-to-date web browser supporting cookies and JavaScript, and an active e-mail address.
  2. The Service Provider shall not be liable for any disruptions in the functioning of the Website caused by force majeure, unlawful interference by third parties, or the incompatibility of the Website with the user's technical infrastructure.

§ 5. Rules for Using the Website

  1. Users are prohibited from providing unlawful content, including content that infringes personal rights, copyrights, or generally applicable law.
  2. It is prohibited to use the Website and the Form in a manner that disrupts their functioning, in particular through the use of software or devices capable of causing unauthorized interference with the Service Provider's IT systems (e.g., spam, DDoS attacks, automated scripts).
  3. All content published on the Website (product descriptions, photographs, trademarks, layout, source code) is protected by copyright and constitutes the property of the Service Provider or of entities with which the Service Provider has concluded appropriate licensing agreements. Copying, distributing, or using this content without the Service Provider's consent is prohibited.

§ 6. Complaints Regarding the Functioning of the Website

  1. Complaints regarding the functioning of the Website or the Form (e.g., technical errors, unavailability of the service) may be submitted to the e-mail address: kontakt@automatparts.eu.
  2. A complaint should include at least: the complainant's details, a description of the problem encountered, and the expected resolution.
  3. The Service Provider shall handle complaints within 14 days of their receipt and shall inform the complainant of the outcome at the e-mail address provided.
  4. This section applies solely to complaints related to the operation of the Website as such. Complaints regarding the quality of products sold or the performance of concluded commercial agreements are governed separately.

§ 7. Liability

  1. The Service Provider makes reasonable efforts to ensure that the information presented on the Website is up to date and accurate, but does not guarantee its completeness or the uninterrupted availability of the Website.
  2. The Service Provider reserves the right to temporarily suspend the availability of the Website for maintenance, updates, or technical reasons.
  3. The Service Provider's liability towards businesses using the Website for non-performance or improper performance of the electronic services provided is limited to actual losses incurred, excluding lost profits, to the extent permitted by applicable law.

§ 8. Personal Data

The rules governing the processing of personal data of Website users and of persons submitting inquiries via the Form are set out in a separate document — the Privacy Policy, available at https://automatparts.eu/privacy, which forms an integral supplement to these Terms.

§ 9. Governing Law and Dispute Resolution

  1. Polish law shall govern these Terms and any agreements concluded as a result of contact made through the Website, unless mandatory provisions of the law of the counterparty's country of establishment provide otherwise, or the parties agree on a different governing law.
  2. Any disputes arising in connection with the use of the Website shall be resolved by the court having jurisdiction over the Service Provider's registered seat, unless the parties agree otherwise in a separate agreement or mandatory provisions of law provide otherwise.

§ 10. Final Provisions

  1. The Service Provider reserves the right to amend these Terms for valid reasons (changes in law, changes in the scope of services provided, changes to the Service Provider's details). Amendments shall take effect upon publication of the new version of the Terms on the Website.
  2. Matters not regulated by these Terms shall be governed by Polish law, in particular the Polish Civil Code and the Act on the Provision of Electronic Services.
  3. These Terms enter into force on 8 September 2026 and remain in effect until amended or revoked.
